Terms of Service

Version 1.0. Last updated: October 30, 2026.

Plain-English terms for Team Alpha Accessibility. Please read them before you buy. Section 14 has a binding arbitration agreement and class-action waiver.

1. Who we are and what this covers

These Terms of Service ("Terms") are a binding agreement between you (the business or person buying or using the service, "you") and Alpha Consulting Agency, doing business as Team Alpha and Team Alpha Accessibility ("Team Alpha", "we", "us"). They cover our paid plans, the one-time setup, the accessibility toolbar (the "widget"), our scans, reports, code-fix guides, setup calls, and our free tools such as the website scanner and the accessibility statement generator (together, the "Service").

If you agree on behalf of a business, you confirm you have authority to bind that business. If you do not agree to these Terms, do not buy or use the Service.

2. What the Service includes

Depending on the plan you choose, the Service includes:

  • The accessibility toolbar for the number of domains on your plan (1 domain, or up to 3 domains).
  • Automated scans of your site against a set of automated WCAG checks, plus a scan report.
  • A PDF of recommended code fixes and do-it-yourself (DIY) steps for your website platform.
  • A free 30-minute setup call.
  • For the one-time setup fee, our team installs the widget on the domains covered by your order (up to 3).

3. What is not included

Unless we agree otherwise in a separate signed writing, the Service does not include:

  • Making changes to your website's code, content, design, images, videos, documents or PDFs, other than installing the widget during setup.
  • Manual testing by people with disabilities, full manual audits, or testing of every page, app, or document you own.
  • Fixing third-party plugins, themes, apps, embeds, payment pages, booking tools, or hosting platforms.
  • Legal advice, legal review, or representation of any kind, including responding to demand letters, complaints or lawsuits.
  • Ongoing support beyond what your plan describes.
  • Sites with more than 3 domains, which need a separate custom quote.

Any extra work we agree to do is covered by these Terms unless a separate signed agreement says otherwise.

4. Tools, not outcomes

The widget, scans, reports, code-fix guides, statement generator and setup call are tools and guidance to help you improve your site's accessibility. Automated checks find only part of the possible accessibility issues, and a toolbar does not fix problems in your site's underlying code.

We do not promise any particular result. We do not promise that your website will meet the Americans with Disabilities Act (ADA), WCAG, Section 508, state law, or any other law or standard, that it will be free of accessibility barriers, or that you will not receive a demand letter, complaint or lawsuit. Scores and results in our reports are estimates from automated tools at a point in time.

5. Your responsibilities

You remain solely responsible for:

  • Your website, apps, content, documents, products and services, and all changes made to them by you or anyone working for you.
  • Any third-party code, plugins, themes, platforms, hosting and vendors you use.
  • Deciding whether and how to apply any recommendation, and testing your site after any change.
  • Meeting your own legal obligations, including accessibility, privacy and consumer laws, and responding to any complaint, demand or claim.
  • Keeping the widget code in place. If it is removed or blocked, it will not work.
  • Giving us accurate information and any access we reasonably need for setup, and keeping backups of your site before any install or change.

You confirm you own or control each domain you give us, or have permission from the owner.

Team Alpha is not a law firm and does not give legal advice. Nothing in the Service, our website, blog, reports, emails, calls or statement generator is legal advice, and using the Service does not create an attorney-client relationship. If you have legal questions, or receive a demand letter or lawsuit, talk to a licensed attorney.

7. Prices, billing and renewal

  • Plans: $25 per month for 1 domain, or $50 per month for up to 3 domains. Yearly options are $200 per year (1 domain) or $400 per year (up to 3 domains). More than 3 domains is priced by custom quote.
  • Setup: a one-time $299 setup fee, charged once per order, covers our team installing the widget on up to 3 domains.
  • Automatic renewal: your plan renews automatically at the end of each monthly or yearly period, and we charge the payment method on file at the then-current price until you cancel. We will give you notice before any price change takes effect, and the new price applies from your next renewal.
  • Payments are handled by our payment processor (Stripe). You authorize us and our processor to charge your payment method for all fees and applicable taxes.
  • Failed payments: if a payment fails, we may pause or end the Service until the balance is paid.
  • Prices do not include taxes. You are responsible for any taxes that apply, other than taxes on our income.

8. Cancellation and refunds

  • You can cancel at any time by contacting us. Cancellation stops future renewals. Your plan stays active until the end of the period you already paid for, and then the widget stops loading.
  • Fees already paid, including the one-time setup fee and any unused part of a monthly or yearly period, are not refunded, except where the law requires a refund or we agree in writing.
  • Code fixes you or we applied to your site stay on your site after cancellation.
  • If you dispute a charge, please contact us first so we can try to resolve it.

9. Suspension and ending the Service

We may suspend or end the Service, with notice where practical, if you break these Terms, do not pay, use the Service unlawfully or in a way that could harm us, other customers or the public, or if we stop offering the Service. If we stop offering the Service for reasons other than your breach, we will refund any prepaid fees for the unused part of your current period. Sections 4, 5, 6, and 10 through 18 continue after the Service ends.

10. Disclaimer of warranties

TO THE FULLEST EXTENT ALLOWED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR WILL WORK WITH YOUR SITE, PLATFORM OR THIRD-PARTY CODE. NO ADVICE OR INFORMATION FROM US CREATES ANY WARRANTY NOT STATED IN THESE TERMS.

11. Limits on our liability

TO THE FULLEST EXTENT ALLOWED BY LAW:

  • No indirect damages. We will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business. This includes any claim, demand letter, complaint, lawsuit, settlement, judgment, fine, penalty, attorney's fees or defense costs brought or charged by any third party or government agency relating to your website's accessibility.
  • Cap. Our total liability for all claims relating to the Service or these Terms is limited to the fees you actually paid us for the Service in the 12 months before the event that gave rise to the claim.
  • These limits apply to every legal theory (contract, tort including negligence, strict liability or otherwise), even if we were told such damages were possible, and even if a remedy fails of its essential purpose.

Some places do not allow certain limits, so some of these may not apply to you. In that case, our liability is limited to the smallest amount the law allows.

12. Your promise to cover us (indemnification)

You will defend, indemnify and hold harmless Team Alpha, Alpha Consulting Agency, and their owners, employees, contractors, affiliates and agents from and against any claims, demands, lawsuits, losses, damages, settlements, fines, costs and expenses (including reasonable attorney's fees) arising from or related to: (a) your website, apps, content, products or services, including their accessibility; (b) any third-party code or vendors you use; (c) your breach of these Terms; or (d) your violation of any law or the rights of others. We may take part in the defense with our own counsel at our own cost. You may not settle any claim that imposes an obligation on us without our written consent.

13. The widget and our materials

While your plan is active and paid, we give you a limited, non-transferable, revocable right to use the widget on the domains covered by your plan. We keep all rights in the Service, the widget code, our report templates, guides and tools. You may not copy, resell, reverse engineer, or use the widget on domains not covered by your plan. You give us permission to load and scan the domains you provide, and to use anonymous, combined data to improve the Service.

14. Disputes: informal resolution, binding arbitration and class-action waiver

Please read this section carefully. It affects your rights.

  • Talk to us first. Before starting any claim, you agree to send us a written description of the dispute and give us 30 days to try to resolve it informally.
  • Binding individual arbitration. Any dispute, claim or controversy relating to the Service or these Terms that is not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, before a single arbitrator. The Federal Arbitration Act governs this section. The arbitration will take place in Tennessee or, at either party's choice, by video or written submissions. The arbitrator decides all questions about whether a dispute must be arbitrated, except questions about the class-action waiver below, which a court decides.
  • Class-action waiver. You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative action. The arbitrator may not combine claims of more than one person. If this waiver is found unenforceable for a claim, that claim must be decided in court, not arbitration.
  • Small-claims carve-out. Either party may instead bring an individual claim in small claims court if it qualifies, as long as it stays there on an individual basis. Either party may also ask a court for an injunction to protect its intellectual property.
  • Jury trial waiver. To the extent any claim proceeds in court, you and we each waive any right to a jury trial.

15. Governing law and venue

These Terms are governed by the laws of the State of Tennessee and applicable U.S. federal law, without regard to conflict-of-law rules. Subject to the arbitration section, any court action must be brought only in the state or federal courts located in Tennessee, and you and we consent to their personal jurisdiction and venue.

16. Time limit to bring a claim

To the extent the law allows, any claim relating to the Service or these Terms must be started within one (1) year after the claim arose. Otherwise it is barred.

17. Electronic agreement and notices

You agree that checking the box next to "I agree to the Terms of Service," or otherwise accepting these Terms online, is your electronic signature and has the same effect as a handwritten signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Tennessee Uniform Electronic Transactions Act. You consent to receive these Terms, receipts, notices and other communications electronically by email or on our website. When you agree, we record the date and time, the Terms version, and your IP address as proof of agreement. You can save or print this page at any time.

18. General terms

  • Entire agreement. These Terms, plus any order details shown at checkout, are the entire agreement between you and us about the Service, and replace any earlier statements or proposals. Marketing materials, blog posts and calls do not change these Terms.
  • Changes to these Terms. We may update these Terms. We will post the new version here with a new "Last updated" date and version, and email active customers about important changes. Changes apply from your next renewal or 30 days after notice, whichever comes first. If you do not agree, you may cancel before the change applies. Continuing to use the Service after that means you accept the change.
  • Severability. If any part of these Terms is found unenforceable, it will be enforced to the greatest extent allowed, and the rest stays in effect.
  • No waiver. If we do not enforce a term right away, we can still enforce it later.
  • Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, sale or reorganization.
  • Events outside our control. We are not responsible for delays or failures caused by events beyond our reasonable control, including outages at hosting, internet or third-party providers.
  • Independent parties. We are independent contractors. Nothing creates a partnership, joint venture or employment relationship.
